ROCHESTER, NY – August 25, 2025 – Transcat, Inc. (NASDAQ: TRNS) (“Transcat” or the “Company”), a leader in test measurement, control and calibration, today announced that Chief Executive Officer Lee D. Rudow has informed the Board of his plans to retire as CEO. To ensure a smooth leadership transition, Rudow will continue to serve in his current role until March 2026 and following the appointment of a new CEO, Rudow will transition to an advisory role to provide guidance and continuity for the Company.
The Board has formed a Search Committee to identify and evaluate internal and external candidates for Transcat’s next CEO, and the search is already underway.

Transcat Acquires Premier Calibration Services Provider Essco Calibration Laboratory
ROCHESTER, NY, August 5, 2025 – Transcat, Inc. (Nasdaq: TRNS) (“Transcat” or the “Company”), a leading provider of accredited calibration services, cost control and optimization services, and distribution and rental of value-added professional grade handheld test, measurement, and control instrumentation, announced that it has acquired privately-held Essco Calibration Laboratory (“Essco”) effective August 5, 2025. The $84 million purchase price was paid in cash and is subject to certain customary adjustments and holdback provisions. The transaction was supported by Transcat’s recently announced new $150 million syndicated credit facility jointly led by M&T Bank and Wells Fargo Bank.

(Nasdaq: TRNS) (“Transcat” or the “Company”), a leader in test measurement, control and calibration, today announced the successful closing of a new 5-year $150 million secured credit facility with a syndicate led by Manufacturers and Traders Trust Company (“M&T”), a leading superregional bank known for its commitment to fostering economic growth, and includes additional lenders Wells Fargo Bank, N.A. (“Wells Fargo”) and Bank of America, N.A. (“Bank of America”), replacing the existing $80 million credit facility with M&T which has been terminated.
